Terms and Conditions
Effective Date: August 25, 2026
These Terms and Conditions (“Terms”) constitute a legally binding agreement made between you (“you”) and Noria Ltd, a private company limited by shares, incorporated in Mauritius (Company No. 240586, BRN C26240586), registered office: Pereybère, Mauritius (“we”, “us”, or “our”), concerning your access to and use of the Quasar website and the Quasar desktop application (collectively, the “Software”).
1. Software Licensing & Intellectual Property
License Grant: Upon lawful purchase of a Quasar license, We grant you a non-exclusive, non-transferable, limited perpetual license to use the Software.
Cryptographic Verification: Access is gated by an airgapped Ed25519 cryptographic key. You agree not to bypass or distribute this key. We reserve the right to revoke fraudulently distributed keys; cryptographic revocation is in development.
Ownership: The Software is licensed, not sold. We retain all intellectual property rights.
2. Data Sovereignty & Recovery Options
Zero-Knowledge Architecture: Quasar is an offline-first application. Local databases are secured using SQLite wrapped in SQLcipher. Any data snapshots synced to our infrastructure (Supabase) are strictly end-to-end encrypted (E2EE) on your device using XChaCha20-Poly1305 before transmission.
Data Loss & The "Total Loss" Scenario: During setup, users are shown their 12-word Master Recovery Phrase and asked to record it as their Emergency Kit. You are solely responsible for securing it. In the event of a total loss of credentials, your data recovery depends on the recovery material you hold:
A. Strict Zero-Knowledge (current default): No key is escrowed today, so We have absolutely zero access to your unencrypted data or Master Key. If you lose your Emergency Kit and your passwords, your data is mathematically unrecoverable. We assume no liability for data loss in this scenario.
B. Opt-In Key Escrow (planned): If you explicitly opt in to our Escrow service once it is available, an RSA-4096 encrypted copy of your Master Key will be securely stored. In a "Total Loss" scenario, We will be able to decrypt this key as a last resort, strictly contingent upon you completing an industry-standard Identity Verification (KYC) process. We reserve the right to deny recovery if identity cannot be legally verified.
3. Payments, Refunds, & Merchant of Record
Paddle Integration: Quasar uses Paddle.com as our Merchant of Record. All payment processing and compliance are handled directly by Paddle.
Pricing & Subscriptions: During the beta testing phase, early backers receive discounted pre-release pricing for the Founding Member package. At public launch, the normal price for a Perpetual License is $349 (Freelancer) or $899 (Pro). We also offer Continuous Subscriptions at $19/mo and $49/mo respectively, with a 20-Month Rent-to-Own option planned. Access to future major versions (V2.0+) for continuous subscribers, and a 50% upgrade discount for Perpetual License holders, are also planned.
Refund Policy: We offer a strict 14-day money-back guarantee for the Founding Member license. Requests must be submitted to studio9niko@gmail.com within 14 days of purchase. Automatic invalidation of your licence key on refund is planned.
4. Disclaimers & Limitation of Liability
“As-Is” Provision: The Software is provided on an “AS-IS” and “AS-AVAILABLE” basis.
Liability Cap: Our maximum liability to you for any cause whatsoever will at all times be limited to the amount paid by you for the Software during the initial purchase.
Governing Law: These Terms are governed by the laws of Mauritius.
